ART. 3: ACCEPTANCE OF THE TERMS AND CONDITIONS

The CUSTOMER undertakes to read these General Terms and Conditions carefully and to accept them before proceeding to pay for an order for PRODUCTS placed on the WEBSITE.

These General Terms and Conditions are referenced at the bottom of every page of the WEBSITE via a link and must be consulted before an order is placed. The CUSTOMER is advised to read the General Terms and Conditions carefully, download and print them, and keep a copy.

The SELLER advises the CUSTOMER to read the General Terms and Conditions with every new order, as the most recent version of these Terms and Conditions applies to every new order of PRODUCTS.

By clicking on the first button to submit the order and then on the second button to confirm that order, the CUSTOMER acknowledges that they have read, understood and accepted the General Terms and Conditions without limitation or reservation.

ART. 4: PURCHASE OF PRODUCTS ON THE WEBSITE

In order to purchase a PRODUCT, the CUSTOMER must be at least 18 years of age and have legal capacity or, if they have not reached the age of majority, must be able to provide proof of consent from their legal representatives.

The CUSTOMER will be asked to provide information enabling their identification by completing the form available on the WEBSITE. The asterisk (*) indicates the fields that must be completed in order for the CUSTOMER’s order to be processed by the SELLER. The CUSTOMER may check the status of their order on the WEBSITE. Where applicable, DELIVERIES may be tracked using the online tracking tools provided by certain carriers. The CUSTOMER may also contact the SELLER’s sales department at any time, at eshop@isolani.com, to obtain information on the status of their order.

The information that the CUSTOMER provides to the SELLER when placing an order must be complete, accurate and up to date. The SELLER reserves the right to ask the CUSTOMER to confirm, by any appropriate means, their identity, eligibility and the information provided.

ART. 5: ORDERS

Article 5.1. Product characteristics

The SELLER undertakes to provide the essential characteristics of the PRODUCTS (as set out in the product information sheets available on the WEBSITE) and the mandatory information which the CUSTOMER must receive in accordance with applicable law. Product photographs and dimensions are for illustrative purposes only; please always refer to the product specifications.
The CUSTOMER undertakes to read this information carefully before placing an order on the WEBSITE.

Unless expressly stated otherwise on the WEBSITE, all PRODUCTS sold by the SELLER are new and comply with current European legislation and the regulations applicable in Italy.

Article 5.2. Ordering procedure

Orders for PRODUCTS are placed directly on the WEBSITE. To place an order, the CUSTOMER must follow the procedure described below (please note, however, that the various stages of the procedure may differ slightly depending on the page from which the CUSTOMER begins).

5.2.1. Selection of PRODUCTS and purchase options

The CUSTOMER must select the PRODUCT(S) of their choice by clicking on the PRODUCT(S) in question and choose the desired specifications and quantities. Once the PRODUCT has been selected, it is added to the CUSTOMER’s shopping basket. The CUSTOMER may then add as many PRODUCTS as they wish to their basket.

5.2.2. Orders

Once the PRODUCTS have been selected and added to the basket, the CUSTOMER must click on the basket and check that the order details are correct. If they have not already done so, the CUSTOMER will then be asked to log in or register.
Once the CUSTOMER has confirmed the contents of their shopping basket and has been identified or registered, an automatically populated online form will appear, summarising the price, applicable taxes and any delivery charges.
The CUSTOMER is advised to check the contents of the order (including the total amount, the specifications and product codes of the PRODUCTS ordered, the billing address, the payment method and the price) before confirming the order.
The CUSTOMER may then proceed to pay for the PRODUCTS by following the instructions displayed on the WEBSITE and provide all the information required for invoicing and DELIVERY of the PRODUCTS. With regard to PRODUCTS for which options are available, these specific codes will appear once the correct options have been selected. Orders submitted must include all the information necessary for their correct processing.

5.2.3. Confirmation of receipt

Once the procedure described above has been completed, a page confirming receipt of the CUSTOMER’s order is displayed on the WEBSITE. A copy of the confirmation of receipt and the order is automatically sent to the CUSTOMER by email, provided that the email address supplied in the registration form is correct.
The SELLER will not send an order confirmation by post or fax.

5.2.4. Invoicing (only for tax-deductible goods, namely contact lenses – ophthalmic lenses)

During the ordering process, the CUSTOMER must enter the necessary billing information (the asterisk (*) indicates the fields that must be completed in order for the CUSTOMER’s order to be processed by the SELLER).
The CUSTOMER must clearly specify all information relating to DELIVERY, in particular the exact DELIVERY address, and any access codes for the DELIVERY address.
The CUSTOMER must also specify their chosen payment method.
Neither the order form that the CUSTOMER creates online nor the order confirmation that the SELLER sends to the CUSTOMER by email constitutes an invoice. Regardless of the method of ordering or payment used, the CUSTOMER will receive the tax documentation required by current regulations upon DELIVERY of the PRODUCTS, inside the packaging.

Article 5.3. Date of the order

The order date is the date on which the SELLER confirms receipt of the online order. The terms set out on the WEBSITE shall only take effect from that date.

Article 5.4. Price

For all PRODUCTS, the CUSTOMER will find on the WEBSITE prices displayed in euros, inclusive of tax, and the relevant delivery charges applicable (based on the weight of the parcel, excluding packaging and free gifts, the DELIVERY address and the carrier or mode of transport selected).

In particular, prices include value added tax (VAT) at the rate in force on the date of the order. Any change in the applicable rate may affect the price of the PRODUCTS from the date on which the new rate comes into force.
The applicable VAT rate is expressed as a percentage of the value of the PRODUCT sold.
Prices from the SELLER’s suppliers are subject to change. Consequently, the prices shown on the WEBSITE may vary. They may also be amended in the event of special offers or sales.
The prices shown are valid subject to obvious errors. The applicable price is that shown on the WEBSITE on the date the CUSTOMER places the order.

Article 5.5. Availability of PRODUCTS

The SELLER undertakes to deliver the PRODUCT on the date or by the deadline specified to the CUSTOMER, unless the parties have agreed otherwise.
In principle, the unavailability of a PRODUCT is indicated on the relevant PRODUCT page. CUSTOMERS may also be informed by the SELLER when a PRODUCT is restocked.
In any event, if the product’s unavailability was not indicated at the time of the order, the SELLER undertakes to inform the CUSTOMER promptly if the product is unavailable.
Should a PRODUCT be unavailable, the SELLER may, subject to the parties’ agreement, propose an alternative PRODUCT of equivalent quality and price, which must be accepted by the CUSTOMER.
If the CUSTOMER decides to cancel their order for PRODUCTS that are unavailable, they will receive a refund of all sums paid for the unavailable PRODUCTS within thirty (30) days of payment.

ART. 6: RIGHT OF WITHDRAWAL

The terms and conditions governing the right of withdrawal are set out in the ‘Withdrawal Policy’, available in Annex 1 to these General Terms and Conditions, and can be accessed at the bottom of every page of the WEBSITE via a hyperlink.

ART. 7: PAYMENT

Article 7.1. Payment methods

The CUSTOMER may pay for their PRODUCTS online on the WEBSITE in accordance with the methods offered by the SELLER.
The CUSTOMER warrants to the SELLER that they hold all necessary authorisations to use the chosen payment method.
The SELLER shall take all necessary measures to ensure the security and confidentiality of data transmitted online in connection with online payments on the WEBSITE.
In this regard, it should be noted that all payment information provided on the WEBSITE is transmitted to the WEBSITE’s bank and is not processed on the WEBSITE.

Article 7.2. Payment date

In the case of a one-off payment by credit card, the CUSTOMER’s account will be debited at the time the order for the PRODUCTS is placed on the WEBSITE.
In the event of partial DELIVERY, the total amount will be debited from the CUSTOMER’s account as soon as the first parcel is dispatched. If the CUSTOMER decides to cancel an order for PRODUCTS that are unavailable, a refund will be issued in accordance with the last paragraph of Article 5.5 of these General Terms and Conditions.

Article 7.3. Delay or refusal of payment

If the bank refuses to charge a card or other means of payment, the CUSTOMER must contact the SELLER’s Customer Services to pay for the order using another valid means of payment.
If, for any reason – including objection, rejection or otherwise – the transfer of the amount due by the CUSTOMER proves impossible, the order will be cancelled and the sale will be automatically terminated.

Article 7.4. Payment via Scalapay

If you choose Scalapay as your payment method, you will receive your order immediately and pay in 3 instalments. By accepting these terms, you acknowledge that the instalments will be assigned to Incremento SPV S.r.l., its related parties and their assignees, and that you authorise such assignment.

ART. 8: EVIDENCE AND ARCHIVING

Every contract with the CUSTOMER shall be stored by the SELLER in the ‘My Account’ section of the WEBSITE and is accessible via a hyperlink.

The SELLER agrees to store this information in order to ensure the traceability of transactions and to produce a copy of the contract at the CUSTOMER’s request.

In the event of a dispute, the SELLER shall have the opportunity to demonstrate that its electronic tracking system is reliable and that it guarantees the integrity of the transaction.

ART. 9: TRANSFER OF OWNERSHIP

The PRODUCTS delivered remain the property of the SELLER until full payment has been made by the CUSTOMER.

The foregoing provisions shall not preclude the transfer to the CUSTOMER, upon receipt by the latter or by a third party designated by the CUSTOMER (other than the carrier), of the risks of loss or damage to the PRODUCTS subject to retention of title and of the risks of damage that they may cause.

ART. 10: DELIVERY

The terms and conditions governing the DELIVERY of PRODUCTS are set out in the ‘Delivery Policy’ contained in Annex 2 to these General Terms and Conditions and are accessible via a hyperlink at the bottom of every page of the WEBSITE.

ART. 11: PACKAGING

PRODUCTS shall be packaged in accordance with current transport regulations to ensure maximum protection of PRODUCTS during DELIVERY.

CUSTOMERS undertake to adhere to the same standards when returning PRODUCTS in accordance with the conditions set out in Annex 1 – Withdrawal Policy.

ART. 12: STATUTORY WARRANTY

Apart from any commercial guarantees that the SELLER may offer for certain PRODUCTS, every CUSTOMER is entitled to ‘statutory’ guarantees for all PRODUCTS, which are set out in detail below, in accordance with Article 129 of the Consumer Code.

Article 12.1. Compliance with the contract – Article 129 of the Consumer Code :

‘1. The seller is obliged to deliver goods to the consumer that comply with the contract of sale.
2. Consumer goods are presumed to be in conformity with the contract if, where applicable, the following circumstances apply:
a) are fit for the purpose for which goods of the same type are ordinarily used;
b) they conform to the description provided by the seller and possess the qualities of the goods which the seller presented to the consumer as a sample or model;
c) possess the quality and performance that are usual for goods of the same type, which the consumer may reasonably expect, taking into account the nature of the goods and, where applicable, any public statements regarding the specific characteristics of the goods made in this regard by the seller, by the manufacturer or their agent or representative, particularly in advertising or on the labelling;
d) are also fit for the specific purpose intended by the consumer, which the consumer brought to the seller’s attention at the time the contract was concluded and which the seller accepted, including through conclusive conduct.

The SELLER shall be liable for any lack of conformity existing at the time of delivery and for any lack of conformity resulting from the packaging, assembly instructions or installation, where such installation is the SELLER’s responsibility or has been carried out under the SELLER’s supervision.

The SELLER shall be liable where a lack of conformity becomes apparent within 24 months of the date of delivery of the PRODUCT, even if the defect was not immediately apparent at that time. To make a claim, the CUSTOMER must notify the SELLER of the defect within 2 months of discovery. The right to bring a claim arising from a lack of conformity shall lapse 26 months after delivery of the PRODUCT (Article 132 of the Consumer Code).

Unless proven otherwise, it is presumed that any lack of conformity which becomes apparent within the first 6 months from the date of delivery of the PRODUCT already existed on that date, unless such a presumption is incompatible with the nature of the goods or with the nature of the lack of conformity.

The CUSTOMER must retain the purchase receipt for the PRODUCT, as well as the documents confirming the dispatch and delivery of the PRODUCT.

In the event of a lack of conformity, the CUSTOMER may request, free of charge, the replacement or repair of the PRODUCT, at their discretion, unless there is a clear disproportion between the cost of the CUSTOMER’s choice and the other feasible option, taking into account the value of the PRODUCT or the seriousness of the defect.

Where replacement or repair is impossible or disproportionately costly, the CUSTOMER may, at their discretion, request either a reasonable reduction in price or the termination of the contract.

Following notification of the defect, the SELLER may offer the CUSTOMER a refund of the price of the PRODUCT within thirty (30) days of receipt of the returned PRODUCT, in exchange for the CUSTOMER returning the PRODUCT to the following address: C.so Buenos Aires 75r

In the case of second-hand goods, the SELLER’s liability period is one year. (Article 134 of the Consumer Code).

Please note that this statutory guarantee of conformity applies regardless of any commercial guarantee that may be granted in respect of the PRODUCTS.

Article 12.2. Warranty for hidden defects

The SELLER is obliged to provide a warranty against hidden defects in the PRODUCT sold which render it unfit for its intended use, or which so impair such use that the CUSTOMER would not have purchased it or would have paid a lower price had they been aware of them. This warranty allows the CUSTOMER, provided they can prove the existence of a hidden defect, to choose between the remedies set out in the preceding article.

ART. 13: LIABILITY

The SELLER shall under no circumstances be held liable for any breach or negligent performance of contractual obligations attributable to the CUSTOMER, particularly at the time of placing the order.

The SELLER shall not be held liable, nor shall it be deemed to be in breach of these General Terms and Conditions, for any delay or failure to perform where the cause of such delay or failure is due to a force majeure event as defined by the case law of the Italian courts and tribunals.

It is also noted that the SELLER does not control websites that are directly or indirectly linked to the WEBSITE. Consequently, no liability is accepted for any information published on such websites. Links to third-party websites are provided for information purposes only, and no warranty is given as to their content.

Contact lenses are CE-marked medical devices. It is the CUSTOMER’s responsibility to read the warnings and instructions for use carefully and to check with their ophthalmologist that there are no contraindications.

The SELLER accepts no liability for the improper use of contact lenses or if the CUSTOMER has failed to carry out the required pre-use checks.

ART. 14: PERSONAL DATA

The SELLER collects CUSTOMERS’ personal data on the WEBSITE, including through the use of cookies. The CUSTOMER may disable cookies by following the instructions provided by their browser.

The data collected by the SELLER is used to process orders placed on the WEBSITE, manage the CUSTOMER’s account, analyse orders and, if the CUSTOMER has opted in, send communications for market research, newsletters, promotional offers and/or information on special sales, unless the CUSTOMER no longer wishes to receive such communications from the SELLER.

Personal data provided by the CUSTOMER will be processed in accordance with EU Regulation 679/2016 (‘GDPR’) and other applicable regulations, using methods designed to ensure its confidentiality and security, as set out in the specific privacy notice that will be provided to the CUSTOMER in the relevant section of the WEBSITE “Privacy Policy” in accordance with Article 13 of the GDPR.

CUSTOMERS may cancel their registration at any time by logging into their account or by clicking on the hyperlink provided for this purpose at the bottom of every offer received by email.

Data may be disclosed, in whole or in part, to the SELLER’s service providers involved in the fulfilment of the order. For commercial purposes, the SELLER may transfer the names and contact details of its CUSTOMERS to its business partners, provided that the CUSTOMERS have given their consent at the time of registration on the WEBSITE.

The SELLER will specifically ask CUSTOMERS whether they wish their personal data to be disclosed. CUSTOMERS may change their mind at any time by contacting the SELLER. The SELLER may also ask its CUSTOMERS whether they wish to receive commercial offers from its partners.

Pursuant to the GDPR (Articles 15 et seq.) and as a data subject, the CUSTOMER has the right, at any time, to obtain confirmation as to whether or not data concerning them exists, to be informed of its content and origin, to verify their accuracy or request that they be supplemented, updated or rectified, to request the erasure, anonymisation or restriction of data processed in breach of the law, or to object to the processing of data on legitimate grounds. They may exercise these rights by sending an email to: eshop@isolani.com or by sending a letter to C.so Buenos Aires 75r. Please note that the CUSTOMER must prove their identity by providing a scan of an identity document or by sending the SELLER a photocopy of their identity card.

Further information on this can be found here: Privacy Policy and Cookie Policy

ART. 15: COMPLAINTS

The SELLER provides the CUSTOMER with a ‘Customer Helpline’ on the following number: 0185934986 (telephone number). Any written complaint from the CUSTOMER must be sent to the following address: C.so Buenos Aires 75r.

ART. 16: INTELLECTUAL PROPERTY

All visual and audio elements of the WEBSITE, including the underlying technology used, are protected by copyright, trade mark law and/or patent law.

These elements are the exclusive property of the SELLER. Anyone publishing a WEBSITE who wishes to create a hyperlink to the WEBSITE must request the SELLER’s authorisation in writing.

Such authorisation by the SELLER shall under no circumstances be granted on a permanent basis. The link must be removed at the SELLER’s request. Hyperlinks to the WEBSITE that use techniques such as framing or inline linking are strictly prohibited.

ART. 17: VALIDITY OF THE GENERAL TERMS AND CONDITIONS

Any amendment to the laws or regulations in force, or any decision by a competent court that invalidates one or more provisions of these General Terms and Conditions, shall not affect the validity of these General Terms and Conditions as a whole. Such an amendment or decision shall in no circumstances entitle the CUSTOMER to disregard these General Terms and Conditions.

ART. 18: AMENDMENTS TO THE GENERAL TERMS AND CONDITIONS

These General Terms and Conditions apply to all purchases made online on the WEBSITE, for as long as the WEBSITE remains available online.

The General Terms and Conditions bear a specific date and may be amended and updated by the SELLER at any time. The applicable General Terms and Conditions are those in force at the time of the order.

Changes made to the General Terms and Conditions do not apply to PRODUCTS that have already been purchased.

ART. 19: JURISDICTION AND GOVERNING LAW

THESE GENERAL TERMS AND CONDITIONS AND THE RELATIONSHIP BETWEEN THE CUSTOMER AND THE SELLER ARE GOVERNED BY ITALIAN LAW.

Any dispute that cannot be resolved amicably shall be subject to the exclusive jurisdiction of the court of the CUSTOMER’s place of residence or domicile, provided that this is within the territory of the State; otherwise, the matter shall fall within the exclusive jurisdiction of the court of GENOA.

In any event, it is possible, on an optional basis, to resort to the mediation procedures set out in Legislative Decree 28/2010 for the resolution of any disputes arising from the interpretation and implementation of these General Terms and Conditions of Sale by accessing the following website: https://webgate.ec.europa.eu/odr
